Recreational Marijuana Sales Begin In Maine

Nearly four years after Maine legalized recreational cannabis, residents may now actually start purchasing.

Legal recreational marijuana sales began in Maine on Friday, nearly four years after voters approved a legalization initiative in 2016. But with only eight licensed dispensaries open for the launch of legal sales and fears of looming product shortages, consumers and business owners alike are unsure what the day will bring.

Voters in Maine legalized the recreational use of marijuana by adults and authorized the commercial production and sale of cannabis by licensed businesses in the autumn of 2016. However, former Republican Gov. Paul LePage thwarted implementation of the measure, leading to years of delay. After two years of legislative rewrites and multiple vetoes by LePage, the Marijuana Legalization finally became law at the end of 2018. 

Erik Gundersen, the director of Maine’s Office of Marijuana Policy, told local media that most of the work to create cannabis regulations for the state occurred following the election of current Gov. Janet Mills, a Democrat.

“With the Mills administration, there was the creation of my office, the Office of Marijuana Policy in February of last year,” Gundersen said. “And really when we showed up, we started with a blank slate and we got to work on the regulations that we put together in short order that serve as the structure for this new industry.”

Once the regulatory framework had been established, recreational sales were expected to begin in Maine in March 2020. But further delays, including a lack of adequate lab testing facilities and challenges caused by the coronavirus pandemic, pushed the start date back again.

“A lot of people have been waiting,” said retail manager Margaret D’Amour of South Portland recreational dispensary SeaWeed Co. “We’ve got a lot of people ready to come and shop.”

Kaspar Heinrici, the head of business development at SeaWeed Co., said that customers who come to the dispensary for the first time will notice some changes from the unregulated market.

“You can expect prices to be a little bit higher, and that’s because of excise taxes that the state has imposed, as well as testing,” Heinrici said. “You want to make sure that there’s no pesticides, that there’s no contaminants.”

Will There Be Enough Weed?

As the regulated recreational cannabis market in Maine begins serving customers, the eight retailers are supported by only eight cultivation facilities, four cannabis product manufacturers, and one testing laboratory. The limited production and marketing capacity has led to fears that product shortages will plague the market until more licensed businesses are up and running. 

Massachusetts-based Theory Wellness is also opening a recreational marijuana dispensary in South Portland on Friday. As a vertically-integrated operator, the company is currently ramping up its cultivation capacity in an effort to satisfy the expected demand. 

“We’re working very hard to be able to produce,” said Thomas Winstanley, the marketing director of Theory Wellness. “At the same time, I think if there’s anything we’ve learned in the cannabis industry, [it] is there are no guarantees that anything will happen according to plan. We’ll take it day by day.”

John Lorenz, the owner of Sweet Relief in Newport, said that he isn’t worried about initial product shortages.

“It will take time, as well as next summer’s season and harvest, to get the program up to its full potential,” he said.

Under Maine law, adults 21 and older are now able to purchase up to 2.5 ounces of marijuana, marijuana products, and cannabis concentrates, including no more than 5 grams of cannabis concentrates. However, some stores may enact policies with lower purchase limits in an effort to ward off product shortages. Europe’s largest industrial 3D printer will make rocket engines




Orbex has commissioned AMCM to build the largest industrial 3D printer in Europe, allowing the innovative UK-based space launch company to rapidly print complex rocket engines in-house.

The custom-made, large volume 3D printer will allow Orbex to print more than 35 large-scale rocket engine and main stage turbopump systems annually as the company scales up its production capabilities for launches.

The multi-million pound deal was signed with AMCM, following a series of successful trials printing various large-scale rocket components over a number of months. AMCM will deliver a complete printing suite with post-processing machinery and ‘Machine Vision’ systems, providing automatic imaging-based inspection of printed components. To accommodate the new machinery, Orbex is expanding its factory floor space by an additional 1,000m².

The 3D printing system will print rocket parts using a custom blend of metals including titanium and aluminium to create a lightweight system designed to withstand the temperature and pressure extremes of spaceflight. Orbex will print components such as rocket engines as a single piece, eliminating the weaknesses which can arise from joining and welding.

The 3D printed rocket components will be critical parts of Orbex’s launch vehicle, a 19m long microlauncher rocket, designed to deliver small satellites into polar orbits around the Earth.

Planning permission was granted for Orbex’s home spaceport, Space Hub Sutherland, at the A’Mhoine peninsula in Sutherland in August 2020. The A’Mhoine site is currently the only UK spaceport to receive planning permission, with construction expected to begin in 2021 and the first orbital launch expected in 2022.

Prime is fuelled by bio-propane, a clean-burning, renewable fuel which reduces CO2 emissions by 90% compared to kerosene-based fuels. The Prime rocket was designed to be re-usable, incorporating a novel recovery and reusability system.  The rocket has also been designed to leave zero debris in orbit around the Earth.

“Although our rocket engines and other critical systems are already quite mature after years of testing, a large-scale in-house 3D printing system like this gives us far greater speed and agility as we ramp up production,” said Chris Larmour, CEO of Orbex. “It means we can continue to iterate and drive up performance even further. Longer term, as we get ready for multiple launches per year, it will give us greater control over our costs and supply chain. After exhaustive trials, the results we’ve seen from AMCM were very successful and we’re confident that we’ve made the right choice of partner.”

Shareholders representing 57% of issued and outstanding shares voted and 95% voted in favor of the transaction. Under the terms of the agreement, which will take the form of a Plan of Arrangement (“POA”) under the Business Corporations Act (British Columbia), Liberty shareholders will receive 0.03683 Ayr shares for each Liberty share held, equating to approximately 13.1 million new Ayr shares.

(CSE: AUSA) (OTC: AUSAF) (“AUSA” or the “Company”) announced today that, further to its press release dated January 5, 2021, the Company has entered into a definitive agreement (the “Definitive Agreement”) with the principals of ALPS for the acquisition of 51% of the issued and outstanding shares in ALPS (the “ALPS Transaction”). The Definitive Agreement has an option permitting the Company to acquire the remaining 49%. Furthermore, the ALPS Transaction also includes the appointment of Terry Booth as AUSA’s CEO upon completion.

Accretive Transaction to Deliver Rapid Growth

Since its management buyout from Aurora Cannabis in May 2020, ALPS has rapidly built a blue-chip roster of global customers and a growing pipeline of potential new deals. ALPS currently is executing on a number of contracts, including four that were signed and announced in the past month:

Enabling Capital-Light Strategy Execution

Rapid Growth – More to Come

ALPS has built a rapidly expanding business development pipeline and is in advanced negotiations on potential projects with a total CapEx in excess of $2.5 billion. Management Changes

Completion timeline

Management anticipates completion of the ALPS Transaction within the next 7 days, subject to satisfaction of customary closing conditions, with the ALPS results to be consolidated in the AUSA accounts from the closing date going forward.

ALPS Transaction details

Under the terms of the Definitive Agreement, AUSA will pay to the ALPS principals between $13.7 million to a maximum of $25.94 million in total consideration for a 51% interest in ALPS and the option, exercisable by the Company at any time for three years after closing of the ALPS Transaction (“Closing”), to acquire the additional 49% interest in ALPS for additional consideration.  The consideration will be paid based on various milestones and adjustments as set out below.

Initial Consideration
(i)  $10,000,000 paid through either the issuance of common shares of AUSA (“AUSA Shares”) valued at a deemed price of $0.20 per AUSA Share, or in cash, or a mixture of both at the election of AUSA on Closing;
(ii)  $2,000,000 paid in cash on Closing; and
(iii)  a $1,700,000 indemnity holdback (the “Indemnity Holdback”), payable eighteen 18 months after Closing, adjusted for any indemnity claim made by AUSA pursuant to the terms of the Definitive Agreement. The Indemnity Holdback payment, if any, may be paid, at the election of AUSA in cash or AUSA Shares at a deemed price per AUSA Share equal to the greater of (i) the 10-day volume weighted average price calculated from the payment date and (ii) $0.14625.

Milestone Consideration

Pursuant to the Definitive Agreement, AUSA is also responsible to pay to the ALPS principals the following milestone-based payments:

      1. The maximum milestone payments (the “Milestone Payments”) that will payable, assuming full satisfaction of all milestones and the exercise of the option will be $24 million, payable in six installments, commencing no earlier than September 30, 2022;
      2. Each Milestone Payment will be calculated against revenue (3 payments) and EBITDA (3 payments) targets, related to 12 consecutive month periods between July 1, 2021 and as late as December 31, 2025. The actual Milestone Payments are capped at $8 million per 12-month period (up to $24 million in total), contingent on actual performance.
      3. The maximum Milestone Payments of $24 million are payable upon ALPS achieving cumulative revenues of $108.7 million with cumulative EBITDA of $48.9 million.  The first calculation period commences on July 1, 2021 and such period will end, at the option of the ALPS principals subject to ALPS achieving certain revenue and EBITDA milestones, on June 30, 2022 or September 30, 2022 and in any event no later than December 31, 2022.  The second calculation period commences on the day following the last day of the first calculation period and may end, at the option of the ALPS principals subject to ALPS achieving certain revenue and EBITDA milestones, on the 12 month or 15 month, and in any event  no later than the 18 month anniversary, of the commencement of the second calculation period.  The third calculation period commences on the day following the last day of the second calculation period and will end, at the option of the ALPS principals subject to ALPS achieving certain revenue and EBITDA milestones, on the 12 month or 15 month, and in any event no later than the  18 month anniversary, of the commencement of the third calculation period.

If a Milestone Payment becomes payable by AUSA prior to AUSA’s exercise of the option (the “ALPS Purchase Option”) to acquire the remaining 49% interest in ALPS, such payment will be 51% of the applicable Milestone Payment. The number of AUSA Shares to be issued by AUSA in connection with the payment of the Milestone Payment or the payment for the exercise of the ALPS Purchase Option  will be calculated by dividing the amount payable by an amount equal to the greater of (a) the volume-weighted average trading price of the AUSA Shares on the Canadian Securities Exchange (the “CSE”) for the ten trading days immediately prior to the applicable payment date and (b) $0.14625.

The Definitive Agreement contains a provision that if an any transaction (or one or more related transactions) pursuant to which any person (other than the ALPS principals or those acting jointly and in concert with them) is or becomes the beneficial owner, directly or indirectly, of securities AUSA representing fifty percent or more of the total voting power represented by AUSA’s outstanding voting securities, without the approval of the board of directors of AUSA, then AUSA shall exercise the option to acquire the remaining 49% of the shares of ALPS (if not already exercised) and pay the remaining Milestone Payments for periods not then expired and the Indemnity Holdback (if not already repaid).
